In der neu geschaffenen Position des Legal Counsels (m/w/d) als Stabsstelle der Geschäftsführung hast du die Möglichkeit, mit deiner rechtlichen Expertise einen wirklichen Impact in unser Unternehmen einzubringen und einen globalen Cleantech Champion mit aufzubauen.

Deine Aufgaben

Zentrale Anlaufstelle für alle komplexen rechtlichen Fragestellungen im Unternehmen und Steuerung externer Rechtsanwaltskanzleien
Unterstützung und Beratung der Geschäftsführung bei Finanzierungsrunden (Series C+) und größeren Transaktionen
Prüfung, Gestaltung und Verhandlung von Verträgen mit externen Partnern, insbesondere im Anlagenbau und bei der Entwicklung von Infrastruktur-Projekten
(Weiter-)Entwicklung von Standards bei NDAs, MoUs, LOIs, Verträgen mit Lieferanten und Kunden, Mitarbeitendenbeteiligungsprogrammen, etc.
Sicherstellung der rechtlichen und regulatorischen Compliance der Gruppen-/Tochtergesellschaften (derzeit Deutschland, Schweiz, USA)
Risikoanalysen im juristischen Kontext
Betreuung gerichtlicher und außergerichtlicher Verfahren
Beratung unserer Führungskräfte und Mitarbeitenden in juristischen Themen

Dein Profil

Erfolgreicher Abschluss des ersten und zweiten juristischen Staatsexamens
Mindestens 8 Jahre Berufserfahrung in einer angesehenen Rechtsanwaltskanzlei im Bereich M&A, Private Equity oder vergleichbar, Industrieerfahrung wünschenswert
Fachliche Expertise im Allgemeinen Wirtschafts-, Vertrags- und Gesellschaftsrecht; Kenntnisse im Kapitalmarktrecht sind ein Plus
Hands-On Mentalität und lösungsorientierte Arbeitsweise
Deutsch und Englisch verhandlungssicher in Wort und Schrift
Freude an der Arbeit in einem internationalen Umfeld

Short Description

In the newly created position of Legal Counsel (m/f/d) as a management staff position, you will have the opportunity to make a real impact on our company with your legal expertise and help build a global cleantech champion.

Your tasks

Central point of contact for all complex legal issues within the company and management of external law firms
Supporting and advising the management on financing rounds (Series C+) and larger transactions
Reviewing, drafting and negotiating contracts with external partners, particularly in plant construction and the development of infrastructure projects
(Further) development of standards for NDAs, MoUs, LOIs, contracts with suppliers and customers, employee participation programs, etc.
Ensuring the legal and regulatory compliance of the group/subsidiary companies (currently Germany, Switzerland, USA)
Risk analyses in a legal context
Support in judicial and extrajudicial proceedings
Advising our managers and employees on legal issues

Your profile

Successful completion of the first and second state law exams
At least 8 years of professional experience in a reputable law firm in the field of M&A, private equity or comparable, industry experience desirable
Professional expertise in general commercial, contract and corporate law; knowledge of capital markets law is a plus
Hands-on mentality and solution-oriented way of working
Business fluent in written and spoken German and English
Enjoy working in an international environment
